Governing Law and Dispute Resolution

(a) Governing Law: This Agreement and this Article (Governing Law and Dispute Resolution) shall be construed, interpreted and applied in accordance with the laws of Switzerland exclusively.

(b) Dispute Resolution Processes: Any dispute, controversy or claim arising under, out of or relating to this Agreement and any subsequent amendments of this Agreement, including, without limitation, its formation, scope, validity, binding effect, interpretation, performance, breach or termination, as well as any non-contractual claims or intellectual property claims, which the parties have not been able to settle amicably, shall be resolved exclusively by expedited arbitration in accordance with the World Intellectual Property Organization Arbitration and Mediation Center (the “WIPO Center”)’s Rules for expedited arbitration in effect at the date of such disagreement or dispute.  The place of any arbitration shall be Geneva, Switzerland.  The language to be used in all arbitral proceedings shall be English.  All proceedings shall be administered by the WIPO Center.
